Another One Bites the Dust: Honeywell to Acquire Xtralis

Honeywell announced that it signed an agreement to acquire Xtralis, a leading global provider of very early smoke and intrusion detection technologies and software. Xtralis is headquartered in Dublin, Ireland, with approximately 500 employees across Europe, Middle East, Africa, Asia Pacific and the Americas, and has more than 30 years of fire and security experience.

This is an exciting development as we continue to evolve Honeywell Security and Fire (HSF) as one business and look for opportunities to accelerate our growth and provide even more value to our customers. The acquisition is a strategic fit which will enhance Honeywell’s very early smoke detection portfolio, and bring unique capabilities in remote visual verification of fire and intrusion risks, advanced perimeter security technologies and video analytics software.

Xtralis success fits with Honeywell’s solid track record of protecting many Fortune 500 companies, iconic sites and critical infrastructures worldwide, by providing very early warning and verification of risks to speed response time and minimize facility damages and potential injury.

Growing our Critical Infrastructure Protection (CIP) business is an important element in our breakthrough growth strategies over the STRAP horizon. Xtralis will strengthen the HSF portfolio for critical infrastructure and high-value assets, and will also complement our strong focus on growing our buildings enterprise, vertical segments and video businesses.

With systems installed in millions of buildings and homes worldwide, Xtralis will benefit from Honeywell’s global scale and channels, end-to-end security and fire offerings and our HOS Gold culture.

We anticipate the acquisition to close in the second quarter of 2016, subject to customary closing conditions, including regulatory review. More information will be shared broadly about our integration once we close the transaction. Until then, we will continue to operate as separate companies.

We ask that Honeywell employees follow these guidelines until further notice:

  • Do not promote Xtralis or its products as part of Honeywell’s portfolio.
  • Do not contact Xtralis or its customers directly, unless you’re part of the integration team.
  • Do not incorporate commercial information about Xtralis in any selling materials or collateral.

Honeywell employees in businesses who currently purchase products from Xtralis for resale in the marketplace, should continue to do so in the ordinary course of business. Any employee who is unsure on how to proceed, should ask a manager or business leader for guidance.
